Virginia: Potential Cannabis Business Owners - Things are Heating Up

From Henrico County, VA Attorney Andrew Newby: “But those businesses would need special approval first. Every one of these business will have to come to the board and ask for a particular location or permission from the board of supervisors to operate and only after a public hearing,"

Winning a cannabis license is a major milestone. Earning your community’s trust is just as important, if not more.

For over 13 years, Sapphire Risk Advisory Group has helped cannabis applicants and operators address the questions that matter to local officials and residents:

- How will you protect employees, customers, and neighbors?

- How will your location and operations fit the community?

- What procedures will support a safe, accountable business?

With experience serving over 800 cannabis clients in 38 states and delivering more than 100 municipal presentations, we have helped applicants turn their plans into clear, credible answers through security design, operating procedures, and community engagement helped applicants turn their plans into clear, credible answers through security design, operating procedures, and community engagement.

Our advice to Virginia cannabis license applicants: Start those conversations early. Listen carefully. Show up prepared.

Contact Tony Gallo at [email protected] / 512 422 7600 if you are ready to discuss the importance of community acceptance and how to show you'll be a responsible neighbor.

🎃 Ghosts Belong in Haunted Houses. Not Business Relationships.

A great meeting. A promising conversation. A proposal sent.

Then… silence. 👻

Most of us have experienced it. Business priorities change, budgets shift, and sometimes the timing simply isn’t right. But a quick “not now,” “we’re going in another direction,” or “we need more time” can preserve a relationship long after an opportunity passes.

After 13 years in business, one lesson stands out at Sapphire Risk Advisory Group and Sapphire Blue Sky Ventures:

TRUST GROWS THROUGH COMMUNICATION AND FOLLOW-THROUGH

That’s the standard we hold ourselves to, from the first conversation to the support we provide after a project is complete. This Halloween season, we’re especially grateful for the clients, partners, and friends who keep that trust strong. They return the call, share the update, and have the honest conversation, even when the news isn’t what everyone hoped to hear.

Thank you for being people we can count on. We work to be the same for you.

No tricks. Just trusted relationships. 💙

Virginia cannabis license applicants: Build city approval into your license application strategy from the start.

Winning a state license is a major milestone. Your location, security plan, and operations also need careful local attention. Lexington, Virginia’s recent review of cannabis zoning and potential conditional-use requirements highlights why applicants should engage local officials early. Understanding a community’s expectations can help you prepare a stronger application and avoid costly surprises.

We have met with more than 12 Virginia cities and towns to listen to their concerns and discuss how responsible cannabis businesses can fit into their communities. Those conversations have been productive, and one message stands out: Come Prepared.

At Sapphire Risk Advisory Group, we help applicants prepare for those conversations through:

• Site and operational/security reviews
• Floor plan designs and day-to-day operating procedures
• Municipal presentations and meeting preparation
• Clear answers about employee, customer, and neighborhood safety

With more than 13 years of cannabis experience, over 800 clients across 40 states, and more than 100 municipal presentations nationwide, we understand how to explain your plans and demonstrate your commitment to being a responsible neighbor.

Start building local relationships while you build your application. Community trust takes time, and preparation matters.

Contact Tony Gallo at [email protected] or 512-422-7600 to discuss how Sapphire Risk can help you prepare for local review and approval.

Whom do you TRUST?

Have you ever trusted a customer, client, or partner, only to have that trust broken? Do you ever really trust that person, company, or firm again?

A bowl may be repaired after it breaks, but its cracks remain, a powerful reminder that trust, once damaged, is never quite the same. At Sapphire Risk Advisory Group and Sapphire Blue Sky Ventures, we work every day to earn, protect, and honor our clients’ trust.

We know our clients are trusting us with their businesses, their investments, and their futures. That responsibility means a great deal to us.

Like the bowl in this photo, trust can be repaired, but the cracks remain. We work every day to protect the confidence our clients place in us.

Your trust is our most valuable asset, and we intend to keep earning it, one promise, one decision, and one relationship at a time.

Contact Tony Gallo at [email protected] / 512 422 7600 when you need someone you can trust in your corner.

Virginia: Is a Cannabis Microbusiness License Right for You?

Virginia can learn from many adult-use cannabis states, including Missouri.

Virginia is offering a "Microbusiness" cannabis license in its Sept 9th PROPOSED VA DRAFT regulations https://cca.virginia.gov/retailma*****namarket

A microbusiness may be a good fit for an operator with the funding, team, and intention to cultivate, process, and sell. It may be a poor fit for someone whose goal is simply to open a retail store.

1) You must operate more than a retail location.
3VAC10-30-130(H), pg 19, requires a microbusiness licensee to engage in cultivation, processing, and retail sales and become fully operational within 18 months of license issuance. Our Assessment: Someone who simply wants to open a retail store would take on additional businesses requiring equipment, staffing, expertise, and capital.

2) A first-time owner needs experienced operational leadership.
3VAC10-40-120(A), pg 36, requires the microbusiness’s responsible party to work at the licensed location, oversee cultivation and production, and have at least two years of verifiable experience cultivating plants or extracting chemicals from plants. Our Assessment: Hiring an application consultant alone does not satisfy that operational requirement.

3) A “Consulting Agreement” could create an unauthorized change in control. 3VAC10-30-20(B), pg 11, requires prior written board approval before ownership or control of a license changes. An unapproved change is void and constitutes grounds for immediate suspension or revocation. An agreement giving an outside company authority over hiring, banking, or inventory systems could raise control questions, depending on its terms and how it operates. Our Assessment: Calling it consulting does not resolve those questions. Have your attorney review any proposed financing, ownership, or management agreement before signing.

4) An exit strategy may be restricted if the license also carries impact status.
3VAC10-30-20(D)–(E), pg 12, restricts transfers of a controlling interest greater than 49% for five years for impact licensees. Our Assessment: Five years in the cannabis industry can be a very long time.

The attached Missouri article’s strongest lesson is that funding gaps and inexperience can leave new owners vulnerable to agreements that surrender meaningful control. It warns about management powers disguised as consulting services. "Watch for a management agreement wearing a consulting label. If the document hands someone else hiring authority, banking authority, or control of the seed-to-sale account, that is not simply advice."

We believe license selection should begin with your business plan, experience, and capital. Contact Tony Gallo at [email protected] / 512 422 7600 if you would like to discuss which license is right for you.

“The most important protection for Missouri’s newest cannabis entrepreneurs may not be another rule. It may be knowing when not to sign.” By Adrian A. Holguin, CannaShark Consulting via Missouri Independent Missouri drew its final round of ma*****na microbusiness applicants on September 9. The...
